Agreement for the Sale of Freeholds by Trustees

 

THIS AGREEMENT is made this________ day of.________BETWEEN [names and addresses, etc., of Trustees] (hereinafter called the Vendor) of the One Part and [Purchaser] of [address, etc.] (hereinafter called the Purchaser) of the Other Part.

Whereby it is agreed as follows:

1. The Vendors will sell and the Purchaser will buy ALL THAT (Parcels) more fully described in the schedule hereunder written and hereinafter referred to as “the said Property’.

2. The property hereby agreed to be sold forms part of the endowment of the Trust known as________ and the sale is made with the consent and under the authority of an order dated_________ of the Hon’ble.________High Court/________ Court at_________

3. The Vendors are selling as trustees appointed under the provisions of the Deed of Trust dated... and registered with the office of the Registrar of Assurance at______ and entered is Book No______ Vol No______Pages______ to______Being No______ for the year 20_____

4. The title to be deducted shall consist of official or attested copies of the said Deed whereby the Vendors were appointed trustees and the said property was vested in the Vendors, the order of the Hon’ble.............. High Court sanctioning the present sale and a statutory declaration if the Purchaser so requires made by some competent person that the property was included in the said order and has been in the possession of the trustees which copies and declaration respectively shall be prepared and furnished at the expense of the Purchaser and the Vendors shall not be required to furnish an abstract of any other documents or to produce any evidence of their title except as aforesaid.

5. Where the property is vested in the Official Assignee add: Under an order made on the _________ day of________ by the______ Court at______ the said property was vested in the Official Assignee in the name of and onbehalf of whom the vendors will execute the conveyance to the purchaser which shall be in a form excluding any express or implied covenant on the part of the said Official Assignee.

 6. The Conveyance to the Purchaser shall be executed by the vendors and the Purchaser will be supplied with a statutory declaration made by the vendors or other competent person setting out sufficient facts to show that the (1) the meeting of the trustees was properly convened [in accordance with paragraph.... of the said scheme] (2) the date on which such meeting was held (3) verification  of an extract from the minutes of the said meeting setting forth the resolution for the execution of the conveyance of the property contracted to be sold and showing who were present and voted thereat and who of those so present voted for the said resolution.
